## Tokens and Blockchain
### Governance Tokens
VC HB3 Accelerator tokens granting rights to dividends (15% of treasury inflows), on-chain voting, creating proposals, and access to accelerator projects. Total: 3,000,000 tokens. Available to LP: up to 30% (900,000). Price: 1,000 USDT per token.
### Admin Tokens
Licenses to use the DLE platform. Holders get access to settings and updates for 5 years. Plans: Standard (1 token, 1,000 USDT), Premium (10 tokens, 10,000 USDT).
### ERC-20
Token standard on the Ethereum blockchain. The DLE platform uses ERC-20 for governance and admin tokens. Extensions used: ERC20Votes (voting), ERC20Permit (signatures).
### Smart Contracts
Self-executing programs on the blockchain. In the DLE platform they are used for token management, voting, dividend distribution, and linking regulator identifiers to blockchain operations.
### On-Chain Voting
Voting system via smart contracts. All votes are recorded on the blockchain and verifiable. 1 token = 1 vote.
### Quorum
Minimum number of votes to pass a decision. Initial quorum: 51%, can be raised to 70% via vote.
### On-Premises
Deployment model where the platform is installed on the clients infrastructure (not in the cloud). Ensures full control over data.
### EVM Networks
Networks compatible with the Ethereum Virtual Machine. The DLE platform supports all EVM networks, including Ethereum, Polygon, Arbitrum, and others. Multi-chain architecture allows operating in several networks at once.

### Exit Rate
Share of portfolio companies that successfully exit. Conservative scenario: 10%, optimistic: 20%.
### Pre-Seed
Early investment stage — company at idea or prototype stage. Check size: 50,000200,000 USDT.
### Seed
Investment stage — company has product and first customers. Check size: 200,0001,000,000 USDT.
### Series A

### ICO (Initial Coin Offering)

Owner of governance or admin tokens. Rights depend on token type.
### Client
Token holder who publishes development and support tasks. Payment from treasury (15% expenses).
### Contractor
Token holder who performs client tasks. Paid from treasury.
### Accelerator
Program supporting entrepreneurs: platform setup, training, access to investment. First accelerator target: 21,000+ entrepreneurs, 5 years.
### Cohort

### Ollama

### Regulatory Sandbox
Controlled environment for testing innovative solutions under regulator supervision. As of January 2025 — 199 sandboxes in 92 countries (SSRN, World Bank).
### Identifiers

# Cooperation Proposal Within a Regulatory Sandbox

## 1. Context
FATF recommendations (Travel Rule, 2023 update), EU MiCA Regulation (in force 30.12.2024), and practice of VARA (UAE) and SEC/CFTC (USA) establish a common requirement: digital asset operations must be linked to identified parties.
According to World Bank and SSRN data as of January 2025, 199 regulatory sandboxes exist in 92 countries. 70% of them focus on blockchain and fintech. However, in most jurisdictions the basic infrastructure needed to meet these requirements is missing:
- no blockchain registries linked to national legal entity identifiers;
- no monitoring tools (blockchain scanners) for supervisors;
- no venues for controlled testing of blockchain solutions with real business;
- no protocols for data exchange between registries of different jurisdictions.

## 2. Proposal
VC HB3 Accelerator proposes to deploy blockchain infrastructure with support for national identifiers within the jurisdiction under a regulatory sandbox.
The fund will:
- register a presence in an IT hub / special economic zone;
- integrate national identifiers (tax, accounting, banking, registration) into the software platform;
- deploy blockchain registry and scanner on servers located within the jurisdiction;
- attract participants (entrepreneurs, contractors, investors) through the accelerator program.
**From the regulator:** grant funding for opening the presence and provide lists of national identifiers for integration.

## 3. Software Platform
The solution is based on the Digital Legal Entity (DLE) platform: a microservices system with a web application for on-premises deployment.
Key components:
**Smart contracts with identifiers.** When registering, a company links regulator-defined identifiers to the smart contract: tax (TIN, EIN, etc.), accounting (industry codes), banking (BIC, SWIFT, IBAN), registration (company number, OGRN, ABN). All subsequent blockchain operations are tied to the identified entity.
**Blockchain registry (EVM-compatible).** Transaction and smart contract ledger for the jurisdiction. Deployed on local servers; data does not leave the territory.
**Blockchain scanner.** Tool for monitoring operations: search by transactions, addresses, company identifiers. Access for the supervisory body.
**AI agents.** Local language model (no cloud requests). Automation of analytics and reporting.
Platform source code is open — independent audit is possible.

## 2. Pricing
### 2.1. Licenses

The only difference between packages is the number of tokens and thus votes.

### 3.1. Process

4. **Decision** — with 51%+ “For”, the feature is scheduled for development
### 3.2. Frequency

- Quarterly review of results

## 6. Refunds and Guarantees
### 6.1. General Principle
The license is perpetual — standard refunds are not provided.
### 6.2. 70% Refund Program
A refund of **70% of the license price** is possible within **5 years** of purchase if all of the following are met:
1. **More than 51% negative votes** in a token-holder vote
2. Complaints relate to **lack of update releases**
3. Vote was conducted **via on-chain smart contract**
4. Request submitted **within 5 years** of licensing date
**Process:** request at hb3-accelerator.com → confirmation on smart contract → 70% refund within 30 days.
### 6.3. Payment Dispute
Within 30 days of payment — in case of calculation error, double charge, or other valid reasons.

## 7. Liability
### 7.1. Authors Guarantees
- License is perpetual (right to use is not time-limited)
- Updates and basic maintenance free for 5 years
- Core functionality remains available
- Voting rights on product development
### 7.2. What Is Not Guaranteed
- Specific new features (depends on voting)
- Specific release schedule
- Support when modifying source code
- Performance when exceeding recommended limits
### 7.3. Limitation of Authors Liability
The author is not liable for: lost profit, indirect damages, data loss, business interruption, reputational harm, fines, or sanctions.
**Maximum liability:** not more than the license fee paid. Only direct damages from direct breach of contract are covered.
### 7.4. User Responsibility
The user is responsible for:
- Data backup
- Use in accordance with the license terms
- Protecting wallet private keys
- Compliance with applicable law
- Timely application updates

## 10. Governance Smart Contract
### 10.1. Architecture
DLE uses an on-chain smart contract for license and voting management:
- **ERC20** — each license is represented by governance tokens (1 or 10)
- **ERC20Votes** — built-in voting
- **ERC20Permit** — signatures for transfers without gas
- **Multi-chain** — voting supported across multiple networks
### 10.2. Voting via Smart Contract
**Creating a proposal:** token holders only. Voting duration: from 1 hour to 30 days.
**Process:** proposal → vote (1 token = 1 vote) → quorum 51%+ → execution.
**Execution:** via direct call in voting chain or via signatures in other networks.
### 10.3. Contract Security
- ReentrancyGuard
- Tokens transferred only via governance
- Vote snapshots to protect against flash-loans
- EIP-712 signatures for contract wallets
- Validation of all parameters before execution
### 10.4. License Transfer
License = tokens tied to wallet address. Transfer = moving tokens to new address via governance. New owner automatically receives voting rights.
